Terms of Use for SGI Tracking Solutions

These Terms of Use govern your access to and use of the SGI Tracking Solutions mobile application, web platform, dashboard, website, GPS tracking services, reports, alerts, and related services.

By creating an account, accessing the platform, installing the mobile app, registering a company, adding a vehicle, using GPS tracking, or continuing to use our services, you agree to these Terms of Use.

1. Definitions

“SGI,” “we,” “our,” or “us” means SGI Global / Sahal Global Institute and its SGI Tracking Solutions service.

“Platform” means the SGI Tracking Solutions mobile application, web portal, public website, admin dashboard, client dashboard, APIs, GPS tracking system, and related services.

“Client” means a company, organization, institution, or individual that subscribes to SGI Tracking Solutions.

“User” means any person who accesses the platform, including admins, fleet managers, drivers, technicians, staff, or viewers.

“Vehicle” means any car, truck, bus, motorcycle, trailer, asset, equipment, or fleet unit added to the platform.

“GPS Device” means a tracker, telematics unit, mobile device, or other tracking hardware connected to the platform.

2. Eligibility

You may use SGI Tracking Solutions only if you are authorized to do so by your company, employer, organization, or fleet owner.

By using the platform, you confirm that:

You are legally allowed to use the service
You have authority to register your company or fleet if you are creating a company account
You will provide accurate information
You will use the platform only for lawful business, fleet, safety, and operational purposes
3. Account Registration

To use certain features, you may need to create an account. You agree to:

Provide accurate and complete information
Keep your login credentials confidential
Not share your account with unauthorized persons
Notify SGI immediately if you suspect unauthorized access
Accept responsibility for activity performed under your account

SGI may suspend or terminate accounts that contain false information, unauthorized access, abuse, fraud, non-payment, or misuse.

4. Company Accounts and User Roles

Each company account may have multiple users with different roles, such as Company Admin, Fleet Manager, Driver, Viewer, Finance User, or Support User.

The company is responsible for:

Managing its users
Assigning appropriate roles
Removing users who no longer need access
Ensuring only authorized persons access fleet data
Using the platform in compliance with laws, employment rules, privacy obligations, and company policies
5. Acceptable Use

You agree not to use SGI Tracking Solutions to:

Track any person, vehicle, or asset without proper authorization
Violate privacy, employment, transport, or data protection laws
Commit fraud, theft, harassment, stalking, or unlawful surveillance
Interfere with platform security
Attempt to access another company’s data
Reverse engineer, copy, damage, or overload the system
Upload harmful code, malware, or illegal content
Misrepresent your identity or company
Use the platform for illegal vehicle control or unsafe remote actions

SGI may restrict, suspend, or terminate access if we reasonably believe the platform is being misused.

6. GPS Tracking and Location Accuracy

SGI Tracking Solutions provides GPS tracking and fleet-management services. Location accuracy may depend on:

GPS signal availability
Network coverage
SIM card data service
Device model and installation quality
Vehicle environment
Battery or power status
Server availability
Map provider performance
Weather, buildings, tunnels, or signal interference

SGI does not guarantee that location data will always be exact, continuous, or available without interruption.

7. Remote Engine Kill and Vehicle Control

Some vehicles or GPS devices may support remote immobilization or engine control where legally and technically allowed.

This feature must be used only by authorized users, only for lawful and safe purposes, and only when it does not create danger to drivers, passengers, the public, property, or road users.

The client is responsible for ensuring that vehicle-control features are installed, authorized, and used lawfully.

SGI may restrict, disable, or require additional approval for remote control features where safety, legal, technical, or contractual concerns exist.

8. Subscription and Payment

Some features require an active paid subscription. Clients agree to pay all applicable setup fees, installation fees, monthly fees, device rental fees, subscription fees, taxes, penalties, and other charges according to the selected plan or signed agreement.

SGI may suspend or limit access if payment is overdue.

Fees may vary by:

Number of vehicles
Service package
Country
Device type
Installation model
BYOD/management-only model
Support level
Contract duration
Added features
9. Client Data and Ownership

The client owns its company and fleet data. SGI processes client data to provide the service.

SGI may access client data only as needed for:

Service delivery
Technical support
Billing
Security
Legal compliance
Troubleshooting
Platform improvement
Contract enforcement

Each company should only access its own data. SGI will apply reasonable controls to maintain company-level data separation.

10. Service Availability

We aim to provide reliable service, but we do not guarantee uninterrupted or error-free access.

Service may be interrupted by:

Server maintenance
Internet failure
Mobile network problems
GPS device failure
SIM card issues
Power outages
Third-party service interruptions
Cybersecurity incidents
Force majeure events
Misconfiguration or incorrect installation

Where possible, SGI will work to restore service within a reasonable time.

11. Third-Party Services

The platform may rely on third-party providers such as hosting companies, map providers, SMS gateways, payment processors, app stores, analytics tools, and notification services.

SGI is not responsible for third-party outages, changes, pricing, errors, or service limitations outside our control.

12. User Content and Uploads

Users may upload documents, photos, payment proofs, support evidence, vehicle photos, or other files.

You agree not to upload:

Illegal files
Malware or harmful code
False documents
Offensive or abusive content
Confidential data you are not allowed to share
Content that violates another person’s rights

SGI may remove content that violates these Terms.

13. Suspension and Termination

SGI may suspend or terminate access if:

Fees are unpaid
The account is misused
False information is provided
The platform is used unlawfully
The client violates these Terms
The client breaches a service agreement
Security risk is detected
Required legal or technical conditions are not met

Upon termination, access to the dashboard, tracking, reports, and support may stop. Data retention and deletion will follow our Privacy Policy and any signed agreement.

14. Intellectual Property

SGI owns or licenses the software, design, branding, platform structure, documentation, reports, logos, and related intellectual property.

Users may not copy, sell, resell, reproduce, modify, distribute, reverse engineer, or create competing services using the platform without written permission from SGI.

15. Disclaimers

SGI Tracking Solutions is provided on an “as is” and “as available” basis.

SGI does not guarantee that:

The platform will always be uninterrupted
GPS data will always be perfectly accurate
Every alert will be delivered instantly
Every stolen vehicle will be recovered
Every driver violation will be detected
Every device will work in every location or network
The platform will meet every special business requirement unless agreed in writing
16. Limitation of Liability

To the maximum extent allowed by law, SGI will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, loss of data, vehicle loss, theft, accident, delay, or third-party claims arising from use of the platform.

SGI’s total liability shall be limited to the amount paid by the client for the affected service period, unless a separate written agreement states otherwise.

17. Changes to the Terms

SGI may update these Terms from time to time. Updated Terms will be posted on the website or inside the app. Continued use of the platform after updates means you accept the revised Terms.
